SSL Reference Implemenation License Agreement for Non-Commercial Use -------------------------------------------------------------------- Netscape Communications Corporation ("Netscape") hereby grants you a non-exclusive, non-transferable license to use the Secure Sockets Layer Reference Implementation 3.0 (the "Software") subject to the following terms: 1. You may modify the Software and/or incorporate it, in whole or in part, into other software programs (a "Derivative Work"). 2. You may not use the Software or Derivative Works for revenue-generating purposes. You may not: (a) license or distribute the Software or any Derivative Work in any manner that generates license fees, royalties, maintenance fees, upgrade fees or any other form of income. (b) use the Software or a Derivative Work to provide services to others for which you are compensated in any manner. (c) distribute the Software or a Derivative Work without written agreement from the end user to abide by the terms of this Section 2. 3. You may reproduce and use the Software and Derivative Works free of charge for internal use. Such internal use may be at the premises of an establishment which is engaged in revenue-generating activities, provided that the Software and Derivative Works are not used as specified in Section 2. 4. Any modification of the Software must prominently state in the modified product or associated documentation that it has been modified and the date the modifications were made. Any copy of the Software or Derivative Work shall include a copy of this Agreement, Netscape's copyright notices and the disclaimer of warranty and limitation of liability. 5. Title, ownership rights, and intellectual property rights in and to the Software shall remain in Netscape and/or its suppliers. You may use the Software only as provided in this Agreement. Netscape shall have no obligation to provide maintenance, support, upgrades or new releases to you or any person to whom you distribute the Software or a Derivative Work. 6. Netscape may use Licensee's name in publicity materials as a licensee of the Software. 7. Disclaimer of Warranty. THE SOFTWARE IS LICENSED "AS IS" WITHOUT WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. 8. Limitation of Liability. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY SHALL NETSCAPE OR ITS SUPPLIERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING WITHOUT LIMITATION ANY COMMERCIAL DAMAGES OR LOSSES , EVEN IF NETSCAPE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. 9. You may not download or otherwise export or reexport the Software or any underlying information or technology except in full compliance with all United States and other applicable laws and regulations. EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED STATES. BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF A FOREIGN PERSON. 10. Either party may terminate this Agreement immediately in the event of default by the other party. You may also terminate this Agreement at any time by destroying the Software and all copies thereof. Termination of your license will not terminate any sublicenses previously granted by you so long as the sublicensee complies with this Agreement. 11. Use, duplication or disclosure by the United States Government is subject to restrictions set forth in subparagraphs (a) through (d) of the Commercial Computer-Restricted Rights clause at FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Program clause at DFARS 252.227-7013, and in similar clauses in the NASA FAR Supplement. This Agreement shall be governed by and construed under California law as such law applies to agreements between California residents entered into and to be performed entirely within California, except as governed by Federal law.
